उच्चतम न्यायालय ने Pioneer Urban Land and Infrastructure Ltd. v.

वेबसाइट: consumerhelpline.gov.in
- Trimex International FZE Ltd., Dubai v.
Pioneer Urban Land and Infrastructure Ltd. v.
Shreya Singhal v.
- Emaar MGF Land Limited v. Aftab Singh, 10

SCANDIC ASSETS FZCO provides technical operation and maintenance within its assigned scope. Providing technical services does not, by itself, make it a party to the user’s contract. Each company’s responsibilities depend on its actual activities, accepted obligations and applicable law.
1. General provisions
1.1 Scope and formation of contracts
These terms apply to the “BOMBAY DURPUN” website and related applications, news feeds, interfaces, software and other services where the provider actually offers them and refers to these terms. They are collectively referred to as the “services”. A user is a person who uses the services. Consumer status is determined by the definition in the Consumer Protection Act, 2019 and the circumstances of the transaction. Before entering into a contract, the user will have an opportunity to read these terms and retain a copy. A contract is formed through an offer and its valid acceptance in the manner specified for the particular service. Merely opening a publicly accessible webpage does not, by itself, constitute acceptance of payment obligations, additional contractual commitments or subsequent amendments. Individually agreed terms take precedence over these general terms. The provider’s statutory obligations apply independently of whether a contract has been formed.
1.2 Amendments to these terms
The provider may propose amendments because of legal requirements, relevant judicial decisions, security needs or justified changes to the services. Where an amendment would affect an existing contract, the user will receive advance information about its content, reason and proposed effective date in a clear form, for example by email. A contractual amendment requires valid agreement unless it follows directly from mandatory law or falls within a previously agreed, valid and fair variation provision. Publishing revised terms, the user’s silence or ordinary continued use of the services will not be treated as acceptance of additional charges or other material new obligations. This provision does not authorise arbitrary changes to an agreed price.
1.3 Disagreement with a proposed amendment
If the user does not accept a proposed amendment, the existing contract continues under the previously agreed terms unless mandatory law or a valid ground for termination requires otherwise. The user may stop using the services and request account closure or subscription termination under clause 10.1, including by contacting [email protected]. Rejecting an amendment does not, by itself, incur a penalty or additional fee. Both parties retain their valid termination rights.
1.4 Changes to services and digital content
The provider may make reasonable changes to maintain security, comply with legal obligations, correct technical faults or accommodate necessary technical developments. The agreed principal features, duration or usefulness of a paid service will not be materially reduced without valid user agreement or another lawful basis. Where a necessary change makes a material part of the agreed service unavailable, the user will receive information about the change and an appropriate remedy according to the circumstances. This may include restoration, an agreed alternative or termination with repayment for the unprovided portion. Material changes will be notified reasonably in advance unless immediate action is legally required. The right to make changes does not remove the consumer’s legal remedies.
2. Content and copyright
2.1 Protected content
Journalistic articles, photographs, videos, sound recordings, illustrations, graphics, databases, software and other material available through the services are referred to as “content”. Content is available for personal, non-commercial use unless the relevant licence or applicable law permits another use. Copyright and related rights belong to the provider or the relevant rights holder to the extent that legal protection exists. This provision does not create exclusive rights over facts, events or information that is not itself protected by copyright.
2.2 Conditions governing further use
Protected content may not be reproduced, modified, translated, distributed, republished, communicated to the public or otherwise used in a manner reserved to the rights holder without appropriate permission or a legal basis. Exceptions under section 52 of the Copyright Act, 1957 remain available, including fair dealing for specified purposes such as private use, research, criticism, review and reporting current events, subject to their conditions. Naming the source or author does not replace permission where permission is required.
2.3 Downloads and copies
Downloading or making copies for personal, non-commercial use is permitted to the extent allowed by the particular service, a valid licence or applicable law. Author, source and rights information must be retained as required by law or valid licensing conditions. Use beyond an authorisation or statutory exception requires the relevant rights holder’s permission. These terms do not restrict rights that cannot lawfully be excluded or limited by contract.
2.4 Third-party content
Some content may be supplied by news agencies, photographers, independent contributors or other providers. Using such material does not automatically exclude the provider’s responsibility for its own publication activities. Each person’s or organisation’s responsibility depends on its conduct and applicable law. Clause 5 also applies to the provider’s liability.
3. User content, comments and reviews
3.1 Rules for publishing user content
This section applies only to services that allow users to submit or publish their own content. Unlawful material, threats, harassment, abusive personal attacks, incitement to violence or unlawful hatred, and material infringing copyright, privacy, reputation or other rights are prohibited. Obscene material, child sexual abuse material, non-consensual intimate images, deceptive impersonation, harmful synthetic depictions, unlawfully disclosed personal information and unsolicited bulk messages are also prohibited. Repeated messages that materially disrupt discussion may be restricted. Lawful, substantive criticism or disagreement alone is not a reason to remove content. Clauses 3.4 and 10.2 govern action in response to breaches.
3.2 Advertising in user content
Areas for user content are primarily intended for non-commercial communication. Advertising, requests for money or donations, and offers to sell goods or services require the provider’s prior permission. References to a product, service or business are permitted where genuinely relevant to the topic and not disguised advertising. Permission does not remove responsibility for complying with advertising identification, accuracy and other legal requirements.
3.3 Rights in user content
Users retain the rights in their content. Subject to valid acceptance of these terms and applicable legal formalities, submitting content grants the provider a non-exclusive, royalty-free permission necessary to make it available in the particular service to which it was submitted. Because the internet is globally accessible, the territorial scope of that permission is worldwide. It covers necessary storage, technical copying and public availability through that service for the duration of lawful publication. Necessary formatting changes may be made without altering the meaning. Technical suppliers may handle the content only as necessary to provide the service on the provider’s behalf. The permission does not include separate advertising campaigns, independent commercial resale, a general right to transfer the licence or use beyond the stated purpose. Authors’ moral rights and statutory remuneration rights that cannot validly be waived remain protected.
3.4 Restrictions and objections
A contribution’s visibility may be restricted, or the contribution removed, because of a breach of these terms, applicable law or a valid order. Action will be proportionate to the nature, seriousness and recurrence of the breach. Where legally permitted and required in the circumstances, the affected user will receive the reason and information about the available complaint channel. The user may object through the contact address in clause 11.4, identifying the decision and the reasons for disagreement. Where the particular feature constitutes an intermediary service under the Information Technology Act, the complaint and removal rules applicable to that role will apply. Publishing its own editorial material online does not, by itself, give the provider intermediary protection for that material.
3.5 Removal and continued retention
Users may request removal of their own contributions. Once removed, the permission under clause 3.3 to make that contribution publicly available ends. Continued storage is permitted only to the extent necessary and lawful, for example to fulfil legal obligations, preserve evidence, establish or defend legal claims, or retain necessary backups for a limited period. Retention does not itself authorise republication. Applicable personal data rights remain protected. Where legislation requires particular content or records to be preserved, their use during that period will remain limited to the relevant lawful purpose.
3.6 Reviews and conflicts of interest
A person involved in creating, distributing or promoting a product, service or work must not present their contribution as an independent consumer review. The same applies to reviews of competing products, services or works where a relevant conflict of interest exists. Commercial relationships and other material connections must be clearly disclosed. Fake reviews, misleading paid praise or criticism, and manipulation of review results are prohibited.
4. Use of the services
4.1 Technical requirements and system protection
Using the website requires an internet-connected device and a suitable browser. Email-based features require an accessible email account. Special requirements concerning applications, interfaces, compatibility or additional equipment will be disclosed before the relevant contract is concluded. Unauthorised access to another person’s account or systems, distribution of malicious code, unlawful circumvention of security, improper interference with data and deliberate excessive loading of systems are prohibited. Properly authorised security testing and conduct expressly permitted by law remain unaffected.
4.2 Advertising and third-party links
The services may contain advertising, sponsored contributions and links to external websites. The commercial character of a communication must be recognisable. Purchases from a third party are governed by the contract with that party. Publishing a link does not mean assuming all the destination operator’s obligations or guaranteeing all its content. The provider remains responsible for its own conduct, its own commercial offers and breaches of applicable legal duties.
5. Obligations, deficient services and liability
5.1 User responsibility
Users must submit or use only content for which they hold the necessary rights or have a lawful basis for use. Responsibility for a breach of their obligations is determined by applicable law. Liability for compensation depends on the actual breach, resulting loss, causation and other legal requirements. These terms do not impose an unlimited obligation to cover every third-party claim or all the provider’s expenses. The assertion of a claim does not itself establish its validity or the user’s liability.
5.2 Provision of services and remedies for deficiencies
The provider will supply services in accordance with their agreed scope, duration and stated characteristics. Where a paid service is not supplied, is materially incomplete, differs from its stated characteristics or is deficient within the meaning of applicable law, the user may seek the remedies available under law and the contract. Depending on the circumstances, these may include rectification, performance, repayment, termination or compensation. Maintenance or technical disruption does not automatically exclude these rights. Archived news is assessed in the context of the article’s publication date and nature; retaining an article in an archive does not promise continuous updating of every historical statement.
5.3 Compensation and unfair limitations of liability
The provider’s liability is determined by applicable law. These terms do not remove rights concerning fraud, intentional unlawful conduct, deficient services, unfair trade practices or other matters for which liability cannot validly be excluded. A one-sided or unfair provision does not become enforceable merely because it appears in a standard-form contract. In Pioneer Urban Land and Infrastructure Ltd. v. Govindan Raghavan, decided on 2 April 2019, the Supreme Court explained limits on enforcing wholly one-sided and unfair consumer contract provisions. General news and information do not constitute professional advice tailored to an individual’s circumstances unless that service has expressly been agreed.
5.4 Making a service complaint
Complaints may be sent to [email protected] or the provider’s correspondence address. The user should identify the service, the deficiency, available order details, the remedy requested and the contact information needed for a response. Where the Consumer Protection (E-Commerce) Rules, 2020 apply, receipt will be acknowledged within 48 hours and the complaint redressed within one month of receipt. Other applicable statutory deadlines remain effective. The user will be informed of the outcome and its reasons. Accepted refunds will be paid within the applicable statutory or payment-related period or, where no specific period applies, within a reasonable time.
6. User accounts
6.1 Registration and account information
Where a service offers registration, users must supply accurate and current information to the extent necessary for that service. Mandatory information and the reasons for requesting it will be explained during registration. Creating an account does not itself constitute consent to advertising, behavioural monitoring or public disclosure of the user’s real name. Where identity verification is necessary, the information requested will be limited to the relevant purpose and legal requirements.
6.2 Security of access credentials
Users must protect their passwords and other access credentials against unauthorised access and notify the provider where there are reasonable grounds to suspect misuse. Responsibility for actions taken through an account depends on the actual circumstances and applicable law. Use of credentials by a third party does not automatically make the account holder liable for every consequence.
6.3 Temporary account restrictions
Access may be temporarily restricted to a proportionate extent where there are specific grounds involving account misuse, a serious contractual breach or security. Restrictions will not continue longer than their justification requires. Reasons and an opportunity to object will be provided as required by law and the circumstances. An account restriction does not itself extinguish rights to repayment or another legal remedy.
6.4 Users under the age of majority
Capacity to enter into a contract independently is governed by the Indian Contract Act, 1872 and applicable majority legislation. The general age of majority in India is 18. Where a paid service or another contractual commitment is required for a minor, a parent or legal guardian must contract in their own lawful capacity or another legally permitted arrangement must be used. General parental permission does not automatically make a minor’s contract valid. This rule does not establish a general prohibition on reading publicly accessible, age-appropriate news. Requirements concerning children’s personal data will be followed according to the provisions of applicable law that are in force.
7. Paid services and consumer rights
7.1 Orders and payment obligations
Payment obligations arise only under a valid contract for a paid service. Before an order is placed, the main features, total price including taxes and mandatory charges, currency, payment method and frequency, duration, automatic renewal and termination conditions will be clearly disclosed. Users will have an opportunity to check their order information and correct errors. A paid order requires an explicit affirmative action; preselected options do not establish agreement to additional charges. Once an order is accepted, confirmation of the service and applicable terms will be provided in a form the user can retain. A free service will not become chargeable merely through publication of revised terms.
7.2 Cancellation, termination and refunds
Cancellation and refund rights depend on applicable law, the service and the validly agreed terms. Ordering online does not, by itself, create a general 14-day right to cancel every digital service without a reason. Any additional voluntary cancellation period offered with a service will be clearly stated. Refunds and remedies available for deficient services, inconsistency with advertised characteristics, unlawful services or other statutory grounds remain protected. Where the e-commerce rules apply, cancellation charges may be imposed on a consumer only if similar charges also apply when the provider cancels unilaterally; any charge must also otherwise be fair and lawful. Users will not be required to accept a voucher instead of a refund due to them without their agreement.
7.3 How to request cancellation or a refund
Requests may be sent to [email protected] or the provider’s correspondence address. The message should identify the contract and the action requested. Cancellation, stopping renewal, closing an account and seeking a refund for deficient services may be separate requests. Necessary clarification may be sought where the intended action is unclear. Use of any available form is optional. The following template is voluntary and does not itself establish an additional statutory cancellation right.

7.4 Subscriptions, trial periods and recurring payments
The subscription period, price for each period, automatic renewal and method of stopping renewal will be clearly agreed before ordering. Conversion of a free trial into a paid service requires clear advance information about the charge, its starting date and recurring payments, together with the necessary acceptance. Creating an account alone does not establish a subscription or authorise recurring payments. Cancellation will not be obscured, made misleading or made unnecessarily difficult. Where the RBI e-mandate framework applies, the relevant payment provider must provide the required authentication, pre-debit notification and facilities to stop a payment or mandate. The relevant pre-debit notification is generally required at least 24 hours before the debit, subject to applicable exceptions. Withdrawing a payment mandate and terminating the service contract are separate actions; amounts already lawfully due remain subject to the contract and applicable law.
8. Communications with users
8.1 Newsletters and advertising messages
Under these terms, electronic newsletters and advertising messages will be sent on the basis of the recipient’s prior consent. Consent must be voluntary and relate to the stated purpose. The sender and the commercial nature of the message will be identifiable. Recipients may stop further messages without charge through the link provided or by contacting [email protected]. Creating an account or purchasing a service does not constitute consent to every marketing purpose. If SMS or commercial calls are used, the telecommunications and unsolicited commercial communication rules applicable to that channel will also apply.
8.2 Operational and contractual notices
The provider may send messages necessary to perform the contract, protect account security, explain material service changes or fulfil legal obligations. Such messages will not be used to circumvent marketing preferences. Declining advertising does not prevent genuinely necessary contractual or security notices.
8.3 Statistics and usage data
Usage data will be processed in accordance with applicable law and the privacy policy. Analysis involving personal data must satisfy the relevant legal conditions and information requirements. Pseudonymised information is not anonymous merely because a person’s name is not directly visible. Statistics will be described as anonymous only where individuals cannot be identified using reasonably available means. Acceptance of these terms does not itself authorise every analytics, advertising, profiling or tracking activity. Required information and choices will be provided through the relevant feature and the privacy policy.
8.4 Surveys and voluntary participation
Participation in surveys, polls or other voluntary activities will not be a condition of using an already agreed service unless this forms part of a clear, fair and valid agreement. Required information about the use of personal data will be provided before collection. Where processing depends on consent, consent may be withdrawn under the applicable rules. Refusing a voluntary survey does not itself remove rights under an existing contract.
9. Software
9.1 Licensing and statutory user rights
Where the provider supplies an application or other software, its use is governed by the relevant licence and contract. Exceptions available to lawful users under section 52 of the Copyright Act, 1957 remain available. Subject to their conditions, these may cover necessary copies and backups, observation, study or testing of a program, and obtaining information essential for interoperability of an independently created program. Components supplied under open licences are also governed by those licences. The provider will not contractually exclude mandatory rights that cannot lawfully be restricted. Obligations concerning agreed functionality, security and service quality remain effective.
10. Ending the contractual relationship
10.1 Termination by the user
Users may request closure of a free account at any time by emailing [email protected]. The end date of a paid subscription depends on its valid duration, agreed termination conditions and any applicable rights to early termination or repayment. The request should state whether the user wishes to close the account, terminate the subscription, stop renewal or take more than one of these actions. Account closure is not treated as a waiver of repayment or other remedies. A request to erase personal data and termination of a contract are separate actions; their effects depend on the request and applicable law.
10.2 Termination by the provider
The provider may terminate on a statutory or validly agreed ground, particularly following a serious breach by the user. The action will be proportionate to the nature and seriousness of the breach. Where a breach can be corrected and immediate termination is unnecessary, the user will receive a reasonable opportunity to correct it. If the provider permanently discontinues a paid service without a user breach, the unprovided portion will be refunded and other applicable remedies remain available. Termination will not be used to avoid obligations concerning complaints, service changes or refunds. Lawful payment settlement, user-content rights and personal data rights remain governed by applicable law.
11. Other provisions
11.1 Applicable law and jurisdiction
Contracts into which these terms are validly incorporated are governed by and interpreted in accordance with Indian law. This choice does not remove mandatory rights that cannot validly be excluded by agreement. Jurisdiction of courts and Consumer Commissions is determined by applicable procedural and consumer protection rules. Where the law permits, a consumer may also approach the competent Consumer Commission by reference to their residence or place of personally working for gain. These terms do not confer exclusive jurisdiction on a foreign court or themselves establish a mandatory arbitration agreement.
11.2 Personal data and privacy
Personal data will be processed in accordance with applicable Indian data protection law and the website’s privacy policy. The Digital Personal Data Protection Act, 2023 and the accompanying 2025 rules are being implemented in phases. As at 1 October 2026, the principal processing obligations and individual rights have not yet commenced; their commencement is scheduled for 13 May 2027 under the notified timetable. Where applicable, section 43A of the Information Technology Act and the sensitive personal data rules of 2011 remain relevant during the transition. Acceptance of these terms does not constitute blanket consent for every processing purpose. Overseas transfers covered by the 2011 rules require the same level of protection and either contractual necessity or the relevant person’s consent. The privacy policy explains particular purposes, recipients, retention periods and rights.
11.3 Correspondence and legal notices
Contractual notices, complaints, requests and other communications may be sent to the provider’s stated email or correspondence address. Any legally prescribed form or method of service takes precedence. These terms do not require users to waive legal representation or contact the provider before every court action or complaint to an authority. Preconditions imposed by a particular legal procedure remain effective.
11.4 Contact, unlawful content notices and objections
Questions, complaints, error reports, unlawful content notices and objections to account or contribution restrictions may be sent to [email protected]. Please identify the exact webpage or disputed decision, the reasons, the requested remedy and the contact details needed for a response. An ordinary error report does not require a complete identity document copy. Notices intended to trigger a particular statutory procedure must satisfy its legal requirements. Where the relevant feature constitutes an intermediary service and the relevant Information Technology Rules apply, an ordinary complaint will be acknowledged within 24 hours and resolved within seven days; shorter deadlines prescribed for particular content take precedence. Editorial complaints, consumer complaints and intermediary complaints do not automatically share the same deadline.

11.5 Consumer disputes and out-of-court resolution
Where the Consumer Protection Act, 2019 applies, consumers may bring a complaint before the competent Consumer Commission. The National Consumer Helpline assists with complaints and resolution at the pre-litigation stage:
National Consumer Helpline
Telephone: 1915
Website: consumerhelpline.gov.in
The helpline is not a court or Consumer Commission, and using it does not replace a judicial determination. Mediation or another consensual process may be available where permitted by law. These terms do not generally require completion of such a process before approaching a court or Consumer Commission. In Emaar MGF Land Limited v. Aftab Singh, decided on 10 December 2018, the Supreme Court confirmed that the existence of an arbitration provision does not automatically remove the consumer’s special statutory remedy.
Legislation and judicial decisions
Depending on the relationship and service concerned, the following provisions and decisions are particularly relevant to the interpretation and application of these terms:
- Indian Contract Act, 1872: offer and acceptance, free consent, contractual capacity, lawful objects, alteration of contracts and compensation for breach, particularly sections 10, 11, 23, 62, 73 and 74.
- Trimex International FZE Ltd., Dubai v. Vedanta Aluminium Ltd., India, 22 January 2010: on the facts, the Supreme Court recognised contract formation through agreement on essential terms and unequivocal email acceptance. Anticipating a later formal document does not necessarily prevent an already concluded contract from being effective. This principle does not permit a contract to be presumed without the necessary agreement.
- Consumer Protection Act, 2019: deficient services, unfair trade practices, misleading advertising, unfair contracts and consumer remedies. Pioneer Urban Land and Infrastructure Ltd. v. Govindan Raghavan, 2 April 2019, provides relevant judicial guidance concerning unfair, one-sided consumer contract provisions.
- Consumer Protection (E-Commerce) Rules, 2020, as amended and in force: consumer information, affirmative purchase consent, complaint handling, refunds and cancellation charges. The 2026 Amendment Rules are scheduled to commence on 1 January 2027 and are not treated as already effective on this legal update date.
- Guidelines for Prevention of Misleading Advertisements and Endorsements for Misleading Advertisements, 2022, and Guidelines for Prevention and Regulation of Dark Patterns, 2023: applicable controls on misleading commercial presentation, concealed charges, preselected additional payments and practices that make subscription cancellation unfairly difficult.
- Information Technology Act, 2000: recognition of electronic contracts, unlawful use of systems and conditional intermediary protection. In Shreya Singhal v. Union of India, 24 March 2015, the Supreme Court struck down section 66A and read down section 79(3)(b).
- Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including amendments effective in 2026: user-content, complaint-handling and other obligations according to the service’s actual role. Provisions concerning digital news publishers apply subject to relevant judicial orders, including the Bombay High Court’s order of 14 August 2021 staying the operation of rules 9(1) and 9(3).
- Copyright Act, 1957: protected works, licensing, authors’ special rights and exceptions under section 52, including specified rights concerning lawful use of computer programs.
- Majority Act, 1875 and Indian Contract Act, 1872: majority and capacity to enter into binding contracts independently. The Protection of Children from Sexual Offences Act, 2012 and the Juvenile Justice Act, 2015 may also impose relevant identification and protection requirements for content concerning children.
- Digital Personal Data Protection Act, 2023, its accompanying rules and the sensitive personal data rules of 2011: data protection, security, information and transfer requirements according to the commencement date and scope of each provision.
- Reserve Bank of India’s Digital Payments – E-mandate Framework, 2026: authentication, advance notification and withdrawal or transaction opt-out requirements for recurring payments within its scope.
- Emaar MGF Land Limited v. Aftab Singh, 10 December 2018: protection of the special remedy available under consumer protection legislation despite the existence of an arbitration provision.
Final provisions
These terms will be interpreted consistently with mandatory law and applicable consumer protection. A provision whose application is prohibited by law will not be enforced, or its validity will be determined under the relevant legislation. The effect of an invalid provision on the remaining terms is determined by law; an invalid provision is not automatically replaced by one producing the nearest economic result. Users retain their statutory rights even where those rights are not individually listed in these terms.
